Inn Out of the Cold St. Thomas-Elgin is seeking motivated and experienced individuals who are passionate about providing shelter services to those experiencing homelessness in St. Thomas-Elgin, Ontario, Canada.

As Inn Out of the Cold transforms from a seasonal shelter to a year-round organization, our Board of Directors is building its capacity to ensure a high standard of governance that keeps pace with the complex, evolving needs and growth of our City and County, while working collaboratively with community organizations, groups, and officials.

About the Opportunity

We are looking for motivated and experienced individuals who have the skills, ability, and vision to contribute as members of our volunteer Board of Directors. We are specifically seeking:

  • A Chartered Professional Accountant or professional from the banking sector, preferably with relevant charity experience who would support the Treasurer.
  • A Human Resources professional
  • A lawyer skilled in labour law
  • A Social Service/Community Services professional (preferably in leadership role)to give voice and perspective from our local community partnerships.
  • A Communications professional, specifically with significant marketing experience and/or fundraising experience.

Directors will be recruited to serve a three-year term with opportunity for renewal up to two times for a maximum 9-year term.

ROLE DESCRIPTION

Time commitment:Five hours per month for meetings and preparation.

Meetings:Up to 12 meetings per year including: 10-12 regular monthly board meetings via Zoom or in person, additional meetings as required for urgent or committee meetings.

 All meetings are in English.

Location:Directors must live or work in St. Thomas-Elgin community.

Term:Three years with opportunity for renewal up to three times for a maximum 9 years.

 

Role of the Board of Directors:

The role of the Board is to lead the organization toward its desired outcomes. The Board's specific

contributions are unique to its stewardship role and necessary for proper governance and management.

These include:

 appoint and if necessary, replace the Executive Director

 approve the annual goals and objectives of Inn Out of the Cold and regularly monitor the progress being made

in accomplishing these annual goals and objectives

 take an active role in advocating for the mission of Inn Out of the Cold

 approve the annual budget

 review the monthly financial statements and approve the audited annual financial statements

 empower/encourage the Executive Director and hold him/her accountable for following

established policies and guidelines, and attaining annual goals and objectives

 maintain financial solvency, organizational integrity, and energetic leadership

 ensure the organization meets all legal, regulatory and funder requirements

 reflect on, evaluate, and constantly improve itself as the governing body

 review/approve/modify all ongoing policies and ensure they are properly contained in the

 Policy Manual; and,

 work with the Executive Director in formulating strategy.

 Duties and Expectations of Directors:

 be committed to the mission of the Inn Out of the Cold St. Thomas-Elgin and adhere to and model the values of the organization

 maintain high ethical standards and integrity in their personal and professional dealings

 abide by the by‐laws and other polices that apply to the board

 provide wise and thoughtful counsel to the Board and management on a broad range of issues

 act upon and remain accountable for boardroom decisions

 become knowledgeable about homelessness and the work of the organization to understand and question the assumptions upon which the plans and budgets are based

 help the board to monitor the performance of the organization in relation to its mission, objectives, values, and reputation

 keep Board discussions and internal organizational material confidential and ensure legislated and regulatory privacy as requirements are met; and,

 be available as a resource to management and the Board. 

Individual directors are also expected to:

 prepare for each Board and committee meeting

 attend 80% of scheduled board meetings either in person or remotely, not missing more than 2 consecutive meetings. Exceptional circumstances may be approved by Board.

 participate on at least one Board committee(if applicable) and become knowledgeable about the duties, purpose and goals of each committee

 participate fully and frankly in Board deliberations and discussions

 take an active external role in advocating for the mission & vision of the organization

 listen to others’ views, advocate their own, identify common interests and alternatives, and be open to compromise

 be willing to raise tough questions in a manner that encourages open discussion

 establish an effective, independent, and respected presence on the Board and a collegial relationship with other directors

 focus inquiries on issues related to strategy, policy and results rather than day to day issues of management; and,

 think, speak, and act independently.

Qualifications

The following are considered key job qualifications:

 a willingness to learn about homelessness in St. Thomas-Elgin

 a commitment to the mission and values of Inn Out of the Cold St. Thomas-Elgin

 a degree of financial literacy (an ability to understand financial statements)

  sufficient computer skills and access to regularly communicate via email and zoom with Executive       Director and Board members

 a commitment of up to five hours per month; and,

 an openness to learning.

 Criminal Record and Vulnerable Sector Check

All directors are expected to complete a police criminal record and vulnerable sector check. A criminal record will not necessarily disqualify a person from serving on the Board of Directors.
