Clerk of the Board of Directors

As part of our ongoing commitment to strong governance and accountability, we are seeking a Clerk to the Board of Directors to support the effective functioning of our Board and its Committees.
Position Overview
The Clerk to the Board of Directors plays a key role in supporting the organization’s governance processes. Reporting to the CEO and working closely with the Board Chair and Committee Chairs, the Clerk ensures accurate documentation of Board and Committee meetings and supports clear, timely communication related to governance matters.
This role is well-suited for someone who is highly organized, detail-oriented, and interested in nonprofit governance.
Key Responsibilities

Attend in person and online meetings of the Board of Directors and accurately record minutes, including motions, decisions, and action items (approximately 3–4 hours per month). In person, meetings take place at Pathways Employment Help Centre Office in London, On.

Prepare and circulate draft minutes in a timely manner following meetings

Maintain organized and confidential records of Board and Committee minutes

Support good governance practices by ensuring consistency and accuracy in documentation

Work collaboratively with the Secretary of the Board
Qualifications

College diploma or Bachelor’s degree, or equivalent experience

Strong organizational skills with exceptional attention to detail

Excellent written communication skills

Ability to handle confidential and sensitive information with discretion and professionalism

Proficiency with Microsoft Office (Word, Outlook, Teams, etc.)

Experience or familiarity with the non-profit or governance sector is considered an asset

Term of Appointment
The Clerk to the Board of Directors is appointed for a one (1) year term, with the possibility of renewal subject to mutual agreement and organizational needs.
Compensation
This position is compensated through a monthly honorarium, commensurate with the scope of responsibilities and time commitment (approximately 4-6 hours per month). Specific compensation details will be discussed with the successful candidate.
